Welcome to Sorinio, a business management and ERP platform developed and operated by CycleBreeze Technologies (“CycleBreeze”, “we”, “our”, or “us”).
By accessing or using Sorinio (the “Service”), you (“User”, “Customer”, “you”) agree to be bound by these Terms and Conditions (“Terms”).

If you do not agree with these Terms, you may not use our Service.

1. Definitions

  • “Service” refers to the Sorinio ERP platform, including CRM, HR, Finance, Projects, Tickets, Inventory, AI features, and all associated modules.

  • “User” or “Customer” means any individual or company using Sorinio.

  • “Subscription” refers to paid plans that provide access to the platform.

  • “Content” means all data, information, files, text, images, or materials uploaded or created by Users.

  • “CycleBreeze” refers to the official owner and operator of Sorinio.

2. Eligibility

You must:

  • Be at least 18 years old.

  • Have the authority to enter into contracts on behalf of your organization.

  • Provide accurate registration information.

3. Use of the Service

You agree to use Sorinio only for lawful, legitimate business purposes.
You must not:

  • Use the platform for fraud, abuse, or illegal activities.

  • Attempt to reverse-engineer, copy, or modify the platform.

  • Interfere with system performance, security, or network integrity.

  • Share your login credentials with unauthorized persons.

4. Account Registration

To access Sorinio, you must create an account and provide required information.
You are responsible for:

  • Maintaining the confidentiality of your credentials.

  • All activities performed under your account.

  • Immediately notifying us of any unauthorized access.

CycleBreeze is not liable for loss resulting from failure to protect your account.

5. Subscription & Payment

  • Sorinio operates on a subscription-based model.

  • Fees are billed monthly or annually depending on the plan selected.

  • All payments are non-refundable, except where required by law.

  • We reserve the right to update pricing with prior notice.

Failure to pay may result in temporary suspension or termination of your account.

6. Data Ownership & Privacy

  • You retain full ownership of all data you upload into Sorinio.

  • By using the Service, you grant us permission to process your data strictly for operational purposes.

  • We do not sell, trade, or misuse customer data.

  • All data handling is governed by our Privacy Policy.

7. Service Availability

We strive to keep Sorinio available 24/7, but we do not guarantee:

  • Continuous, uninterrupted service.

  • That the Service will be error-free at all times.

We may conduct maintenance or updates, which may temporarily affect access.

8. Third-Party Integrations

Sorinio may integrate with third-party apps and services.
We are not responsible for:

  • The performance or accuracy of third-party platforms.

  • Any data loss or issues arising from external integrations.

9. Intellectual Property

All trademarks, software, features, user interface designs, code, and materials within Sorinio are the exclusive property of CycleBreeze Technologies.

Users may not:

  • Copy or replicate our platform.

  • Rebrand or resell the Service.

  • Remove or alter proprietary notices.

10. Prohibited Activities

You must not use Sorinio for:

  • Fraudulent financial activities

  • Phishing, spamming, or cyberattacks

  • Storing harmful, illegal, or copyrighted materials

  • Abuse, harassment, or disruption of service operations

Violation may result in immediate account termination.

CycleBreeze may suspend or terminate accounts for:

  • Breach of these Terms

  • Non-payment

  • Misuse of the Service

  • Legal or security concerns

Upon termination:

  • Access to the platform is revoked

  • Your data may be deleted after a retention period (e.g., 30 days)

12. Disclaimer of Warranties

Sorinio is provided “as is” and “as available”.
CycleBreeze disclaims all warranties, including:

  • Fitness for a particular purpose

  • Merchantability

  • Accuracy or reliability of output

13. Limitation of Liability

To the maximum extent permitted by law, CycleBreeze is not liable for:

  • Loss of profits

  • Business interruptions

  • Data loss

  • Consequential or indirect damages

Our maximum liability is limited to the amount you paid in the last 12 months.

14. Indemnification

You agree to indemnify and hold CycleBreeze harmless from claims, damages, or losses resulting from:

  • Misuse of Sorinio

  • Violation of these Terms

  • Breach of laws or third-party rights

Continued use of Sorinio after changes constitutes acceptance of the updated Terms.
